Access and Use Policies and Procedures

These Access and Use Policies and Procedures supplement the Producer Agreement with respect to access to and use of this Site and any Materials accessed through this Site. All terms and conditions of the Producer Agreement between Company and Producer apply, including Sections 4.5 Electronic Business Center and Other Site Access, 13.4 Intellectual Property, and 13.5 Confidentiality, Privacy and Data Protection. By accessing or using the Site, Users agree to the terms and conditions of these Access and Use Policies and Procedures.

All Users are subject to these Access and Use Policies and Procedures.

1. Definitions

1. Authorized Users means Producer's authorized subproducers and employees using the Site under Producer supervision.
2. Company means Hartford Fire Insurance Company and its North American subsidiary and affiliate property and casualty insurance companies from time to time.
3. Confidential Information means all Company confidential, proprietary or trade secret information, including, but not limited to, underwriting criteria and guidelines, procedures and processes, studies, reports, compensation arrangements, and any other data or information developed by Company and provided to Producer or which is subject to protection under any U.S. or Canadian Federal, state or provincial privacy law.
4. Intellectual Property means Company's name, logos, domain names, copyrights, trademarks, servicemarks, patents, trade secrets, software or other intellectual property.
5. Materials means any Materials Company makes available on this Site, including but not limited to insurance forms, financial services information and forms, marketing brochures, policies, rating mechanisms, billing and producer files.
6. Nonpublic Information means (a) Confidential Information of Company; and (b) individually identifiable information, to the extent that it includes (i) Social Security number; (ii) drivers' license number, non-driver identification card number, or other government-issued identification number; (iii) account number, credit or debit card number; (iv) any security code, access code or password that would permit access to an individual's financial account; (v) biometric records; or (vi) information relating to the individual's health or medical care or payment for the provision of health care to the individual.
7. Producer means an entity or individual authorized to act as a Company producer pursuant to a Producer Agreement or other agency or broker agreement with Company.
8. Site means Company's Electronic Business Center (EBC) and/or ICON.
9. Users means all Users of this Site, including Producers.
10. Writing or Written means a communication in the form of a written document sent by U.S. mail or a confirmed delivered e-mail or facsimile, or in the case of a communication from Company, publishing on Company's electronic agency interface systems.

2. Access

Access to the Site and the Materials is solely for Company's authorized Producers and is not for the public. Access to the Site shall be limited solely to those portions of the Site necessary for conducting Producer's business with Company in the ordinary course. Producer shall hold passwords or other secure methods of access to the Site in strict confidence and shall not share or disclose such information to any other person or entity except for Authorized Users, unless other persons or entities are expressly approved in Writing by Company. No third parties, including any vendors, shall be granted access to the Site without Company's express prior Written consent. Producer shall be responsible for overseeing access to and use of Site by Users with whom Producer has shared passwords or otherwise provided access to the Site, including ensuring that Users use the Site in accordance with these Access and Use Policies and Procedures. Producer shall be responsible for the acts and/or omissions of any User to whom Producer has shared passwords or otherwise provided access to the Site, in connection with that User's access to or use of the Site (including, but not limited to, access to or use of Materials, Confidential Information, and/or Intellectual Property) and shall defend, indemnify and hold Company harmless from any and all loss, costs, expenses, or damages, including attorney's fees, arising out that User's access to or use of the Site. Users shall take all reasonable measures to prevent unauthorized access to the Site, including, but not limited to, avoiding use of automatic logons and shutting down access before leaving active workstations unattended. Users shall not attempt to reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive any Materials, Confidential Information, and/or Intellectual Property in the Site. Users shall not employ, use or run software, devices, scripts, robots or any other means or processes (including crawlers, browser plugins and add-ons or any other technology) to scrape or infiltrate the Site.

3. Systems Administrator

Producer shall designate one or more Systems Administrator(s) who shall be responsible for communicating with Company regarding administrative aspects associated with the Site. Producer shall notify Company immediately if a Systems Administrator or any other individual with access to the Site is terminated for any reason and ensure termination of their access to the Site.

4. Use

Users shall use the Materials provided on the Site solely in connection with a Producer's normal course of business as an authorized Company Producer, and except for the foregoing, shall not use the Materials with or for any other person or entity. Users shall not modify or attempt to modify the Materials except as instructed or permitted. Users acknowledge that some Materials may be state specific and Users shall use any such Materials only in those states where the Producer holds a valid and unexpired insurance Producer's license in the applicable
